If you do not agree to these Terms, do not use the Site or purchase any products from us.

ALL PRODUCTS OFFERED BY GENESIS BIOMAPPING ARE INTENDED STRICTLY FOR LABORATORY RESEARCH, ANALYTICAL, OR DEVELOPMENT PURPOSES ONLY, UNLESS EXPRESSLY STATED OTHERWISE IN WRITING BY GENESIS BIOMAPPING.

By using this Site or purchasing any product, you acknowledge, represent, and agree that:

3. Qualified Purchaser / Lawful Use Representation

  • you are familiar with the risks, handling requirements, storage requirements, and disposal requirements associated with such products;

Without limiting the foregoing:

  • a COA reflects the information made available for the applicable lot or batch and does not expand the permitted use of the product;
  • product images may be illustrative and may not precisely reflect packaging, labeling, lot numbering, or appearance at the time of delivery;
  • product names, abbreviations, alternate names, or research references do not constitute permission or authorization for any prohibited use.

6. Order Acceptance; Refusal; Cancellation

All orders are subject to review, acceptance, and availability. Genesis Biomapping reserves the right, in its sole discretion and without liability except as required by law, to:

  • refuse service;
  • refuse or cancel any order;
  • limit order quantities;
  • restrict sales by person, entity, address, geography, payment method, or account;
  • request additional documentation before accepting an order;
  • place an order on hold for review;
  • discontinue any product at any time.

We may refuse or cancel an order for reasons including, without limitation:

  • suspected misuse or prohibited intended use;
  • age or identity verification issues;
  • suspected fraud or chargeback risk;
  • suspected resale or diversion concerns;
  • errors in price, content, inventory, or description;
  • unavailability of product;
  • shipping, export, customs, sanctions, or legal concerns;
  • prior abuse of our policies or services.

If we cancel an order after payment is received, we will issue a refund in accordance with our policies and applicable law.

7. Pricing; Billing; Payment

All prices are listed in U.S. dollars unless otherwise stated. Prices, product availability, descriptions, promotions, and shipping charges are subject to change without notice.

9. Shipping; Delivery; Risk Events

Shipping times are estimates only and are not guaranteed. Delays may occur due to carrier issues, weather, customs, supply interruptions, payment review, fraud review, force majeure events, or other factors beyond our reasonable control.

You are responsible for ensuring that the shipping address provided is accurate and deliverable. Genesis Biomapping is not responsible for losses arising from incorrect shipping information provided by you.

If a shipment is delayed, lost, returned, refused, seized, damaged in transit, or otherwise affected after handoff to a carrier, Genesis Biomapping will work in good faith with you and the carrier, but our obligations will remain subject to our Shipping Policy, Refund Policy, and applicable law.

10. Returns; Refunds; Shortages; Damaged Shipments

Your purchase is also governed by our posted Refund Policy and Shipping Policy, which are incorporated into these Terms by reference.

Because of the nature of research materials, all sales may be treated as final except as required by law or as expressly provided in our posted policies. If you receive a damaged, defective, incorrect, or incomplete order, you must notify us within 60 days of delivery with reasonable supporting documentation, including photographs where applicable.

We reserve the right to determine, in our sole but reasonable discretion, whether replacement, store credit, partial refund, or full refund is appropriate under the circumstances and our posted policies.

11. Prohibited Uses

You agree not to:

  • use any product for human or animal consumption, administration, injection, ingestion, topical application, inhalation, implantation, or any other in vivo use;
  • use products in diagnostic, therapeutic, clinical, compounding, dispensing, or treatment-related applications;
  • market, resell, relabel, split, dilute, compound, or redistribute products for prohibited uses;
  • misrepresent the nature, quality, regulatory status, intended use, or source of any product;
  • use the Site to transmit unlawful, fraudulent, defamatory, infringing, abusive, or harmful material;
  • attempt to interfere with the security, operation, or availability of the Site;
  • use bots, scrapers, automated tools, or other means to access the Site in an unauthorized manner;
  • violate any applicable law, regulation, or third-party right.

Any actual or suspected prohibited use may result in account suspension, order cancellation, refusal of future service, preservation of records for fraud or compliance purposes, and referral to appropriate authorities where legally required or appropriate.

Genesis Biomapping does not assume responsibility for your independent compliance obligations.

13. No Resale; No Diversion

Unless we expressly agree in writing, products sold by Genesis Biomapping are for the purchaser’s own lawful internal research, analytical, or development use only and may not be resold, transferred, wholesaled, white-labeled, or otherwise diverted.

We reserve the right to reject orders or terminate accounts where we suspect unauthorized resale, marketplace diversion, relabeling, or downstream misuse.

14. Export / Sanctions / Cross-Border Restrictions

You agree not to purchase, export, re-export, transfer, or use any product in violation of any applicable trade, customs, import/export, sanctions, embargo, or other legal restrictions.

If we do not expressly offer international shipping, then all orders are limited to jurisdictions we choose to serve. We may cancel or refuse any transaction that raises export-control, sanctions, customs, or destination concerns.

15. Accounts and Account Security

If account creation is available on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You agree to notify us promptly of any unauthorized use of your account or any other breach of security. We may suspend or terminate accounts at our discretion if we believe security, compliance, or Site integrity is at risk.

GENESIS BIOMAPPING DOES NOT WARRANT THAT:

  • THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • THE SITE OR SERVER WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • ANY PRODUCT WILL MEET YOUR PARTICULAR REQUIREMENTS OR RESEARCH OBJECTIVES;
  • ANY TECHNICAL OR EDUCATIONAL CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUFFICIENT FOR YOUR INTENDED USE.

YOU ASSUME ALL RISK ASSOCIATED WITH THE PURCHASE, STORAGE, HANDLING, TRANSPORT, USE, TESTING, AND DISPOSAL OF PRODUCTS.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GENESIS BIOMAPPING FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR A PRODUCT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO GENESIS BIOMAPPING FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

23. Indemnification

You agree to indemnify, defend, and hold harmless Genesis Biomapping and its owners, members, managers, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your breach of these Terms;
  • your violation of any law or regulation;
  • your misuse of the Site or any product;
  • your storage, handling, testing, transfer, export, disposal, relabeling, repackaging, resale, or downstream distribution of products;
  • your infringement of any third-party right;
  • any content or information you submit to us.

This indemnification obligation will survive the termination of these Terms and your use of the Site.

24. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site, your account, or your ability to place orders at any time, with or without notice, if we believe you have violated these Terms, presented fraud or compliance risk, or otherwise acted inconsistently with the intended use of the Site or products.

Termination or suspension does not waive any rights or remedies otherwise available to Genesis Biomapping.

25. Compliance With Laws

If any product is restricted or prohibited where you are located, do not order it. You are solely responsible for determining whether a product may lawfully be purchased or possessed in your jurisdiction.

26. Governing Law

These Terms and any dispute arising out of or relating to the Site, the products, or any transaction with Genesis Biomapping shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.

27. Venue and Jurisdiction

Unless binding arbitration is elected in a separate valid agreement, any action arising out of or relating to these Terms, the Site, or any product shall be brought exclusively in the state or federal courts, and you consent to the personal jurisdiction and venue of those courts.

28. Informal Dispute Resolution

Before filing any formal claim, you agree to first contact us at info@genesisbiomapping.com and attempt in good faith to resolve the dispute informally for at least 30 days, unless prohibited by law.

29. Time Limit on Claims

To the maximum extent permitted by law, any claim arising out of or relating to the Site, the products, or these Terms must be commenced within one (1) year after the claim arose, or it will be permanently barred.

30. Force Majeure

Genesis Biomapping shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, weather events, carrier disruption, labor disputes, supply shortages, cyber incidents, utility failures, governmental actions, pandemics, public emergencies, civil unrest, or similar events.

31. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.

32. No Waiver

No waiver by Genesis Biomapping of any breach or default shall be deemed a waiver of any preceding or subsequent breach or default.

33. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, internal reorganization, or by operation of law.

34. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, and any other posted policies expressly incorporated by reference, constitute the entire agreement between you and Genesis Biomapping regarding the Site and any purchases made through it, and supersede all prior or contemporaneous communications, understandings, or proposals, whether oral or written, relating to the same subject matter.
